RENAISSANCE
ALLSPORTS ATHLETIC CLUB CONSTITUTION
I. AUTHORITY TO
INCORPORATE: The
Renaissance Allsports Athletic Club, herein also referred to as RASAC,
was formed in June 1973. A set of
rules and regulations were formulated, at that time, to establish and
maintain the form of the club. The
Articles of Incorporation, drawn up under the authority of those RASAC laws,
by the executive officer of RASAC,
on November 24th, 1982, and these bylaws are now the sole documents by
which the
Renaissance Allsports Athletic
Club is governed.
II. EXECUTIVE ORGANIZATION
A. STRUCTURE:
1. The administrative organization
of RASAC shall consist of an executive board
(directors), a congress, and an
advisory council.
2. The executive board (directors)
shall consist of the president of RASAC, three vice presidents,
the secretary, treasurer, and the
registration chairman; and shall be chaired by the president.
3. The congress shall consist of
all associate directors and committee chairmen, and
shall be chaired by the member
with the most tenure, not a member of the executive board.
4. The advisory council shall
consist of all past presidents, and will be chaired by the
council member with the most
tenure.
5. An association shall be a
geographical or categorical sub unit(child) of RASAC(parent)
with structure identical to that
of RASAC, except that the parent/child relation between
RASAC and the association shall be
clearly stated in its constitution.
B. DUTIES
1. The executive board shall
execute the day to day business of the club. The board may
charter committees and
associations to further the aims and goals of RASAC.
2. The executive board may pass resolutions,
to become modus operandi by which
the club purposes may be
furthered.
3. The congress may pass
resolutions, with the advisement of the legislation committee, to
become by-laws by which the club
may be governed.
4. By-laws, passed by the
congress, may be vetoed by the president.
5. By-laws, vetoed by the
president, may become law via a two-thirds (2/3) vote of the
entire congress.
6. By-laws may be declared
unconstitutional by the advisory council.
7. The president may be impeached
by the congress.
8. The advisory council may not be
impeached.
C. BASIC COMMITTEE
STRUCTURE:
1. SECRETARIAL:
Chaired by the secretary, this committee shall be responsible for
publishing the club newsletter
which shall be sent to all members at least three (3) times
per year. The secretary may
appoint a newsletter editor and other members to the
committee. The committee shall be
responsible for sending notices of club meetings to all
members and for publishing the
minutes of these meetings, and for other secretarial duties
assigned by the president. The
president may cause other committees
to make written reports to the
secretary.
2. FINANCIAL:
Chaired by the treasurer, this committee shall be responsible for
depositing dues and other club
income, paying debts, and maintaining the not-for-profit
status of the organization.
3. REGISTRATION:
Chaired by the registration chairman, this committee shall be
responsible for collecting dues,
maintaining a club membership list, and other duties as
determined by the president.
4. SPORTS: These
committees shall be chartered by the executive board and shall
carry out such duties as assigned
in the Articles of Incorporation.
5. LEGISLATION:
(5.1) The legislative committee shall draw up legal representaions of
resolutions submitted by the
congress for amendment of the by-laws of the constitution.
(5.2) Amendments to the
by-laws must be passed by a majority of the congress to become law,
unless vetoed by the president, in
which case they may be passed by a two-thirds (2/3) vote
of the congress.
(5.3) The advisory council may
strike down such laws which it determines to be
unconstitutional.
IV ELECTIONS
Election of the president, the
three vice-presidents, secretary, registration chairman,
and treasurer shall be conducted
by popular vote at the annual club meeting in November of
each year for the term from 1
January to 31 December of the following year.
V NOMINATIONS
The executive board will appoint a
nominating committee to present a slate of nominees to the
general membership before the
annual meeting. Nominations may be made from the floor at the
annual meeting. Any member of
RASAC is eligible for office with the following
qualifications:
1. To be eligible for president, a
nominee must have served as a vice-president for at least
two terms of office.
2. To be eligible for
vice-president, a nominee must have served at least two years as a
committee or association chairman.
VI SUCCESSION
Succession to the presidency is as
follows:
1st Vice-president, 2nd
Vice-president, 3rd Vice-president, chairman of the congress.
In the event that this sequence is
depleted, the bodies having the authority to appoint an
interim president is in the
following order:
Executive board, congress, general
membership.
Vacancies in elected chairmanships
shall be filled by the various committees, or in the
absence of such action, by the
president.
VII MEMBERSHIP
Membership is open to anyone in
sympathy with the aims and goals of RASAC.
Unsportsmanlike conduct, or
activities counter to the furtherance of the aims and goals of
RASAC constitute valid reason for
refusing membership to an individual or group.
VIII AMENDMENTS
The Articles of Incorporation,
including the by-laws, may be amended by a 3/4 vote of the
entire membership. Proposals of
amendment must be submitted to the membership via the
newsletter. Any member may submit
such a proposal.
IX COMMON-LAW
RASAC common-law is derived from
RASAC newsletters, especially from the period June
1973 to the time of incorporation
of the club.
The breaking of RASAC tradition,
either explicit or implicit, shall require an
amendment to this constitution.
