RENAISSANCE ALLSPORTS ATHLETIC CLUB, INCORPORATED
ARTICLES OF INCORPORATION
(see also RASAC's Constitution)

FIRST: The undersigned, Joseph Lacetera, whose post office address is 1006 Whitaker Mill Rd, Joppa, MD 21085, being at least eighteen (18) years of age, does hereby form a corporation under the general laws of the State of Maryland.

SECOND: The name of the corporation is Renaissance Allsports Athletic Club, Incorporated.

THIRD: (a) The purposes for which the corporation is formed are as follows: to foster national amateur sports competition; to promote physical fitness and friendly competitive events; to generate educational material on the mental and physical fitness benefits of vigorous exercise; to educate the public on proper coaching of youthful athletes; and to hold clinics, seminars, and camps, and provide printed material to further the aforementioned purposes of the corporation.

(b) No part of the net earnings of the Corporation shall inure to the benefit of or be distributable to its members, directors, officer, or other private persons, except that the Corporation shall be authorized to and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherence of the purposes set forth in Article THIRD hereof.

FOURTH: The post office address of the principle office of the

Corporation is P.O. Box 215, Abingdon, MD 21009.

The name and post office address of the resident agent in Maryland are: Joseph Lacetera, 1006 Whitaker Mill Road, Joppa, MD 21085.

FIFTH: THE CORPORATION SHALL NOT BE AUTHORIZED TO ISSUE CAPITAL STOCK.

SIXTH: The number of directors of the Corporation shall be 7, which number may be increased or decreased pursuant to the by-laws of the Corporation, and the name of the director who shall act until the first meeting or until his successors are duly chosen and qualified is Joseph Lacetera.

SEVENTH: Upon the dissolution of the Corporation's affairs, or upon the abandonment of the Corporation's activities due to its impracticable or inexpedient nature, the assets of the Corporation shall be transferred, conveyed, delivered and paid over to any other charitable organization of this or any other state having a similar or analogous character or purpose.

EIGHTH: The duration of the Corporation shall be perpetual.

NINTH: The Corporation may by its By-Laws make any other provisions or requirements for the arrangement or conduct of the business of the Corporation, provided the same be not inconsistent with these Articles of Incorporation nor contrary to the laws of the State of Maryland or of the United States.

IN WITNESS WHEREOF, I have signed these Articles of Incorporation on November 24th, 1982, and acknowledge the same to be my act.
